Terms of Use

The terms that govern orchords.com and the services identified in an Orchords order or product notice.

Effective 25 August 2026. This reviewed English version is the current version on every locale of this site.

1. Agreement and supplier

These Terms are a legal agreement between you and Orchords Operations LLC (“Orchords Operations”, “we”, “us”, or “our”), a Nevis limited liability company. They govern your access to and use of orchords.com and the services identified in your order, product notice, or other agreement.

If an order or signed agreement conflicts with these Terms, that document controls for the relevant service. If you act for an organization, you confirm that you have authority to bind it. Do not use a service if you cannot agree to the applicable terms.

2. Website and service status

  • Public pages provide general information about Orchords and its products.
  • Security Scan, compliance screening, account areas, APIs, auditor features, and MissionControl are governed by the notices and service status shown when you use them.
  • A roadmap, preview, beta, or “in development” feature is not a promise that the feature will launch or have a particular specification or date.
  • We may improve, replace, suspend, or discontinue a feature, subject to any binding order and rights that cannot lawfully be excluded.

3. Accounts and authorized access

Provide accurate information, protect credentials and recovery methods, and notify us promptly of suspected compromise. You are responsible for activity performed through your account to the extent permitted by law. Access is limited to the tenant, role, data, and systems you are authorized to use.

4. Acceptable use

You must not use the website or a service to:

  • Break the law, infringe another person’s rights, or process data without authority or a valid legal ground.
  • Probe, scan, or test a target you do not own or lack explicit permission to assess.
  • Bypass authentication, tenant boundaries, rate limits, security controls, or access restrictions.
  • Introduce malware, interfere with availability, scrape at harmful scale, or misuse outputs to deceive or harm.
  • Upload secrets, special-category data, regulated data, or third-party content unless the service expressly supports it and you are authorized to do so.
  • Represent a screening, report, preview, or generated output as legal advice, certification, regulator approval, or guaranteed compliance.

We may restrict access reasonably necessary to stop abuse, protect users, comply with law, or preserve service integrity.

5. Your content and instructions

You retain your rights in content you submit. You give Orchords Operations a limited, non-exclusive right to host, copy, transmit, validate, and otherwise process that content only to provide, secure, support, and improve the requested service; comply with law; and enforce the agreement. You confirm that you have the rights and permissions needed for the content and instructions you provide.

Do not submit confidential or personal information through a public form unless it is needed for the request. Our Privacy Notice explains personal-data processing.

6. Orchords intellectual property

Orchords Ltd, an Anguilla business company, owns certain trademarks, software, and other intellectual property used in the services. Except for the limited right to use a service under these Terms and any order, no intellectual-property right is transferred to you.

Third-party and open-source components remain governed by their own licences. You may not remove notices, falsely claim ownership, or copy, modify, reverse engineer, distribute, or create derivative works except where an applicable licence, signed agreement, or non-excludable law permits it.

7. Screening and generated outputs

Security, compliance, AI, and other generated outputs are informational aids. They may be incomplete, inaccurate, or outdated and do not replace independent legal, regulatory, security, accounting, or professional advice. You are responsible for validating an output before acting on it. A public compliance screening uses a sector-based rule set and does not determine which law applies, whether you comply, or what penalty or remediation is appropriate.

8. Orders, price, cancellation, and refunds

This public page does not itself set a price, tax, renewal, cancellation, or refund term. Before you are bound by a paid order, the order process must identify the supplier, service and performance timing, business or service address, total price and applicable taxes, payment and renewal terms, cancellation and refund rights, and complaint contact.

Nothing in these Terms excludes or limits cancellation, refund, quality, or other rights that cannot lawfully be excluded. Any additional commercial refund policy will be stated before purchase. We will provide a durable transaction record where applicable law requires one.

9. Third-party services

A service may link to or interoperate with a third party. Its terms, privacy notice, availability, and content are controlled by that third party. Orchords does not endorse a third party merely by linking to it, and is not responsible for the third party except to the extent applicable law requires.

10. Availability and security

We use reasonable measures to operate and protect the services but do not promise uninterrupted, error-free, or absolutely secure operation. Maintenance, provider incidents, security response, or events outside reasonable control may affect availability. Report suspected vulnerabilities privately to security@orchords.com and do not use public GitHub issues.

11. Disclaimers

To the maximum extent permitted by law, the public website and any free, preview, beta, screening, or evaluation feature are provided “as is” and “as available”. We disclaim implied warranties only to the extent they may lawfully be disclaimed. Nothing in these Terms limits a guarantee, duty, or remedy that applicable law does not allow us to exclude.

12. Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or other categories protected by mandatory law. For a paid service, any agreed liability allocation is stated in the applicable order. For free public features, Orchords is not liable for indirect or consequential loss, lost profit, lost revenue, or lost data to the extent permitted by law. This clause does not reduce mandatory consumer rights.

13. Suspension and termination

You may stop using a free public feature at any time. Account and paid-service termination rights are stated in the applicable order. We may suspend access where reasonably necessary for security, abuse prevention, legal compliance, non-payment under an order, or material breach, and will give notice where reasonably practicable and legally permitted.

14. Governing law and disputes

Subject to mandatory law, these Terms and non-contractual obligations arising from them are governed by the laws in force in Nevis, Saint Christopher and Nevis. The courts of Saint Christopher and Nevis have non-exclusive jurisdiction. If you are a consumer, this clause does not deprive you of any protection or forum available under the mandatory laws of your habitual residence.

Contact legal@orchords.com first so we can try to resolve a dispute. Where section 115 of the Saint Christopher and Nevis Consumer Protection Act 2023 applies and is in force, the parties agree to attempt to settle through mediation by the Consumer Protection Board before taking the matter to court. This does not restrict any right that applicable law preserves to file a criminal complaint or civil claim.

15. Changes and severability

We may update these Terms for legal, security, or service changes. The effective date identifies the current version, and additional notice will be given where required. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary and the rest remains effective. A failure to enforce a provision is not a waiver.
